Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Clicks ("Clicks," "we," "us," or "our"), a company registered and operating under the laws of Nepal.

By accessing or using the Clicks platform — including any websites, APIs, mobile applications, or services offered under the Clicks brand — you agree to be bound by these Terms. If you are accessing Clicks on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Clicks is an agentic commerce cloud platform that provides:

• AI-powered storefront creation and management tools
• Payment processing integration and multi-currency support
• Inventory, logistics, and order management systems
• Marketing, campaign, and analytics tools
• AI component builders and automation agents
• Third-party integrations and APIs

Services are provided on a subscription basis. Clicks reserves the right to update, modify, or discontinue any feature with reasonable notice.

To use Clicks, you must:

• Be at least 18 years of age, or the legal age of majority in your jurisdiction
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Services under applicable laws
• Operate a legitimate business or commercial activity

Clicks does not knowingly provide services to individuals or entities on sanctions lists or operating in violation of applicable trade laws.

You must create an account to access the platform. You agree to provide accurate, complete, and current information during registration, including your full name, organization name, and work email.

You are solely responsible for:

• Maintaining the confidentiality of your login credentials
• All activities conducted under your account
• Promptly notifying Clicks of any unauthorized access or breach

Clicks is not liable for any loss arising from unauthorized use of your account due to your failure to maintain credential security.

Clicks offers a 14-day free trial with no credit card required. After the trial period, continued access requires a paid subscription plan as displayed on our pricing page.

• Subscription fees are billed in advance on a monthly or annual cycle
• All fees are exclusive of applicable taxes (including Nepal VAT where applicable)
• Payments are processed through our integrated payment partners
• Failure to pay may result in service suspension after reasonable notice
• Refunds are governed by our Refund Policy, available on our website

Clicks reserves the right to change pricing with 30 days' prior written notice to active subscribers.

All platform software, designs, branding, algorithms, AI models, and documentation are the exclusive intellectual property of Clicks and its licensors, protected under applicable Nepali and international law.

You retain full ownership of your business data, product information, and content uploaded to the platform ("Your Content"). By using Clicks, you grant us a limited, non-exclusive license to store, process, and display Your Content solely to provide the Services.

Clicks does not claim ownership over stores, products, or creative assets you create using the platform.

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Services. This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law.

The platform is provided "as is" and "as available." Clicks makes no warranties, express or implied, regarding:

• Uninterrupted or error-free service availability
• Fitness for a particular commercial purpose
• Accuracy or completeness of AI-generated outputs
• Results achieved from use of the platform

You use the platform at your own risk and are responsible for evaluating AI-generated content before publishing or acting on it.

To the fullest extent permitted by law, Clicks shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities.

Clicks' total aggregate liability for any claims arising under these Terms shall not exceed the fees paid by you in the 12 months preceding the claim.

You agree to indemnify, defend, and hold harmless Clicks, its officers, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from: (a) your use of the platform in violation of these Terms; (b) Your Content; or (c) your violation of any applicable law or third-party rights.

Either party may terminate the agreement at any time. You may cancel your account through the dashboard settings. Clicks may suspend or terminate your access immediately if you violate these Terms or applicable law.

Upon termination, your right to access the platform ceases. Clicks will retain your data for 30 days following termination, after which it may be permanently deleted. Data export tools are available prior to account closure.

These Terms are governed by the laws of Nepal, including but not limited to the Electronic Transaction Act, 2063 (2006) and the Consumer Protection Act, 2075 (2018).

Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to arbitration under the rules of the Nepal Council of Arbitration, seated in Kathmandu, Nepal.

Clicks may update these Terms from time to time. We will notify you of material changes via email or a prominent notice on the platform at least 14 days before the changes take effect. Continued use of the platform after that date constitutes your acceptance of the revised Terms.
